1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and KPMS3 LLC, operating as Entropy Lifestyle. By downloading the app, creating an account, or using the Service in any way, you agree to be bound by these Terms. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Entropy Lifestyle is a wellness platform offering personalized AI-generated protocols, health data synthesis from wearable devices and third-party integrations, readiness scoring, gamification, community features, and educational content — all designed to support sustainable lifestyle habits.

The Service is designed for general wellness and lifestyle optimization purposes only. It is not a medical device. Nothing in the Service constitutes medical advice, diagnosis, or treatment.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Possess the legal capacity to enter into a binding agreement
  • Comply with all applicable laws and regulations
  • Not have had a prior account terminated by Entropy Lifestyle for cause

4. User Accounts

You must provide accurate and complete information when creating your account and keep it up to date. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.

You may maintain only one account. You may not transfer your account to another person. If you suspect unauthorized access to your account, notify us immediately at hello@entropylifestyle.com.

5. Health & Medical Disclaimer

The Service provides general wellness information only. Nothing in the Service constitutes medical advice, and no content should be interpreted as a substitute for professional medical judgment, diagnosis, or treatment. Entropy Lifestyle is not an FDA-regulated medical device.

Always consult a qualified healthcare professional before making changes to your diet, exercise routine, sleep habits, or any other aspect of your health — particularly if you have a pre-existing medical condition, are pregnant, or are taking medication.

In the event of a medical emergency, call your local emergency services immediately. Do not rely on the Service for emergency medical information.

6. Wearable & Third-Party Health Data

Health metrics displayed in the Service may originate from third-party wearable devices and health platforms including Apple Health, Google Health Connect, WHOOP, Oura Ring, and others. Entropy Lifestyle disclaims responsibility for the accuracy, completeness, or timeliness of data received from third-party sources.

Your use of third-party integrations is also governed by those platforms' own terms of service and privacy policies. We are not responsible for the data practices of third-party services.

7. AI-Generated Recommendations

Entropy Lifestyle uses artificial intelligence to generate personalized wellness protocols. These protocols are tailored to your data inputs but are not individualized medical advice and do not account for all aspects of your health. No specific outcomes are guaranteed.

Your judgment and the advice of qualified healthcare professionals always take priority over any AI-generated recommendation. You are free to ignore, override, or modify any suggestion the Service makes.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Provide false or misleading information
  • Attempt to gain unauthorized access to the Service or its systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit malware, viruses, or any malicious code
  • Harass, abuse, or harm other users
  • Misuse connected health platform data in violation of those platforms' terms
  • Use the Service to develop a competing product or service
  • Scrape or harvest data from the Service without written permission

We reserve the right to suspend or terminate accounts that violate these standards without notice.

9. User Content

You retain ownership of any content you post or submit through the Service (including check-ins, notes, and community contributions). By submitting content, you grant Entropy Lifestyle a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for the purposes of operating and improving the Service.

You are solely responsible for the content you submit. Content must comply with our community guidelines and must not infringe the rights of any third party.

10. Intellectual Property

Entropy Lifestyle owns all rights, title, and interest in the Service, including its content, features, AI models, algorithms, brand, and associated intellectual property. Nothing in these Terms transfers any ownership rights to you.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

11. Third-Party Services

The Service integrates with Apple Health (HealthKit), Google Health Connect, WHOOP, Oura Ring, Google Calendar, and other third-party services. These integrations are provided as a convenience. Your use of those services is governed by their respective terms of service and privacy policies, which you should review independently.

Entropy Lifestyle is not responsible for the availability, accuracy, or conduct of any third-party service.

12. Subscriptions & Payments

Entropy Lifestyle offers a free tier and a Premium subscription. Premium subscriptions are billed on a monthly or annual basis and are processed through Apple App Store or Google Play.

  • Automatic renewal. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period through your App Store account settings.
  • Pricing changes. We may change subscription prices with reasonable notice. Continued use after a price change takes effect constitutes acceptance.
  • Refunds. Refunds are handled according to Apple or Google's refund policies. We offer a 30-day refund on annual plans — contact hello@entropylifestyle.com within 30 days of your charge.
  • Free tier. The free tier is provided without charge and may be modified or discontinued at any time with reasonable notice.

13. Privacy & Data

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. We do not sell your personal health data. You have the right to access, correct, and delete your data as described in the Privacy Policy.

14. Termination

You may delete your account and terminate your use of the Service at any time through Settings → Account → Delete Account.

We may suspend or terminate your access at any time for violations of these Terms, fraudulent activity, non-payment, or extended inactivity, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will do so.

15. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ENTROPY LIFESTYLE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. We do not warrant the accuracy, reliability, or completeness of any content, including AI-generated protocols and third-party health data.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ENTROPY LIFESTYLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claim arising from or related to these Terms or the Service will not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD. This limitation does not apply to claims arising from personal injury caused by our gross negligence.

17. Indemnification

You agree to indemnify, defend, and hold harmless Entropy Lifestyle, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) content you submit; or (d) any misrepresentation you make.

18. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising from or relating to these Terms or the Service will be resolved through binding individual arbitration under the AAA Consumer Arbitration Rules, rather than in court. You waive your right to participate in a class action lawsuit or class-wide arbitration.

You may opt out of this arbitration agreement by emailing legal@entropylifestyle.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

Nothing in this section prevents either party from seeking emergency injunctive relief in court to prevent irreparable harm.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

20. General Provisions

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Entropy Lifestyle.
  • Severability. If any provision is found unenforceable, the remaining provisions continue in full effect.
  • Waiver. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
  • Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
  • Force majeure. We are not liable for delays or failures caused by circumstances beyond our reasonable control.
  • Notices. We may provide notices to you via email or in-app notification. Notices to us should be sent to legal@entropylifestyle.com.
