Please read these Terms carefully. By creating an account or using Entropy Lifestyle, you enter into a legally binding agreement with KPMS3 LLC. These Terms include important provisions about your health data, the nature of our AI-generated recommendations, limitations of liability, and dispute resolution through arbitration.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and KPMS3 LLC, operating as Entropy Lifestyle ("Entropy Lifestyle," "we," "us," or "our"), governing your access to and use of the Entropy Lifestyle mobile application, website, and related services (collectively, the "Service").

By downloading the App, creating an account, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating this page, sending an email to the address on your account, and/or displaying an in-app notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you object to any change, you must stop using the Service and may delete your account.

2. Description of Service

Entropy Lifestyle is a wellness and energy management platform designed to help you understand and optimize your energy, recovery, and overall wellbeing. The Service provides:

  • Personalized wellness protocols generated by AI based on your health data, lifestyle inputs, and goals

  • Health data synthesis by connecting wearable devices (WHOOP, Oura Ring) and health platforms (Apple Health, Google Health Connect) to provide unified insights

  • Scores and metrics including recovery, sleep, strain, stress, and energy indices

  • Gamification features including points, badges, streaks, challenges, and rewards to support behavior change

  • Community features including a social feed, group challenges, and peer accountability tools

  • Scheduling integration with Google Calendar to time wellness activities around your existing commitments

  • Educational content on sleep, recovery, nutrition, movement, and stress management grounded in wellness science

The Service is designed for general wellness and lifestyle optimization purposes only. It is not a medical device, healthcare service, or clinical platform. See Section 5 for our full Health & Medical Disclaimer.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age

  • Have the legal capacity to enter into a binding agreement

  • Not be prohibited from using the Service under applicable law

  • Not have previously had an account terminated by us for cause

The Service is not intended for individuals under 18. We do not knowingly collect personal information from minors. If you are a parent or guardian and believe your child has used the Service, please contact us immediately at hello@entropylifestyle.com.

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

4.1 Account Creation

To access most features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and update your information to keep it accurate

  • Not impersonate any person or entity or misrepresent your affiliation with any person or entity

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password

  • Not share your credentials with any third party

  • Notify us immediately at hello@entropylifestyle.com if you suspect unauthorized access to your account

We are not responsible for losses arising from unauthorized use of your account resulting from your failure to protect your credentials.

4.3 One Account Per User

Each user may maintain only one active personal account. Creating multiple accounts to circumvent restrictions, access promotions fraudulently, or for any other deceptive purpose is prohibited and may result in termination of all associated accounts.

5. Health & Medical Disclaimer

Important. Please read this section carefully. It defines what Entropy Lifestyle is and is not, and describes the risks you assume by using health and wellness features.

5.1 Not Medical Advice

The Service provides general wellness information and AI-generated protocols based on data you provide and authorize. This information is for educational and informational purposes only and does NOT constitute:

  • Medical advice, diagnosis, or treatment

  • A substitute for consultation with a licensed physician, psychologist, nutritionist, or other qualified healthcare professional

  • Clinical care of any kind

5.2 Not a Medical Device

Entropy Lifestyle is NOT a medical device as defined by the U.S. Food and Drug Administration (FDA) or analogous regulatory bodies in other jurisdictions. The Service is not intended to:

  • Diagnose, treat, cure, monitor, or prevent any medical condition or illness

  • Replace or supplement clinical monitoring of any health condition

  • Be used in emergency or crisis medical situations

5.3 Consult Healthcare Professionals

Before beginning any new fitness program, making changes to your diet, or implementing any health-related protocol, you should consult a qualified healthcare professional. This is especially important if you:

  • Have a pre-existing medical condition (including cardiovascular, metabolic, musculoskeletal, or mental health conditions)

  • Are pregnant or nursing

  • Are taking prescription medications

  • Have recently undergone surgery or medical treatment

  • Experience any unusual symptoms during use of the Service

Always follow the advice of your healthcare provider over any information or recommendations provided by the Service.

5.4 Emergency Situations

In any medical emergency, call 911 (US) or your local emergency services immediately. Do not rely on the Service in an emergency. The Service is not designed for or capable of responding to medical emergencies.

5.5 Assumption of Risk

By using the Service, you acknowledge and accept that:

  • Physical activity and dietary changes carry inherent risks, including injury, illness, or in extreme cases, death

  • You are voluntarily undertaking such risks in connection with your use of the Service

  • You are solely responsible for determining whether any protocol or recommendation is appropriate for your individual health circumstances

  • You will stop any activity immediately and seek medical attention if you experience pain, discomfort, dizziness, shortness of breath, or any concerning symptoms

6. Wearable & Third-Party Health Data

6.1 Data Accuracy Disclaimer

Health metrics displayed in the Service may originate from third-party wearable devices (WHOOP, Oura Ring) and health platforms (Apple Health, Google Health Connect). We do not manufacture or calibrate these devices and do not guarantee the accuracy, completeness, timeliness, or reliability of any data sourced from them. Wearable devices provide estimates and approximations and may contain errors, inaccuracies, or gaps in data.

6.2 Not a Substitute for Clinical Measurement

Metrics displayed in the App (including but not limited to heart rate variability, sleep stages, calorie estimates, SpO2, and stress scores) are wellness indicators, not clinical measurements. They should never be used as a substitute for clinically validated diagnostic tools or professional medical assessment.

6.3 Authorization & Revocation

You control which wearable devices and health platforms connect to Entropy Lifestyle. You may revoke access to any integration at any time within the App settings or through your device's operating system settings. Revoking access does not automatically delete historical data already collected; please submit a data deletion request if desired.

6.4 Third-Party Terms

Your use of WHOOP, Oura, Apple Health, Google Health Connect, and Google Calendar is separately governed by the terms and privacy policies of those respective platforms. We are not responsible for the operation, availability, data accuracy, or data practices of any third-party platform.

7. AI-Generated Recommendations

7.1 Nature of AI Recommendations

Wellness protocols and insights generated by our AI systems are produced by algorithms that analyze your health data, lifestyle inputs, and behavioral patterns in relation to general wellness research and principles. These recommendations:

  • Are personalized based on your data but are not individualized medical advice

  • Are generated by automated systems and may not account for your complete health history or clinical context

  • May not be appropriate for every individual regardless of their health data profile

  • Are subject to the inherent limitations and occasional errors of machine learning systems

7.2 Your Judgment Takes Priority

You are always free to ignore, modify, or override any AI-generated recommendation. We strongly encourage you to apply your own judgment and consult a healthcare professional before making significant changes to your health routine based on in-app guidance.

7.3 No Guarantee of Outcome

We do not guarantee that following any protocol or recommendation generated by the Service will produce any specific health, fitness, or wellness outcome. Individual results vary significantly based on numerous factors outside our control.

7.4 AI Transparency

Where feasible, the App surfaces the primary data signals driving a recommendation. You may contact us to request a plain-language explanation of any significant automated output.

8. Acceptable Use

8.1 Permitted Use

You may use the Service only for lawful personal, non-commercial wellness management purposes, in accordance with these Terms and all applicable laws and regulations.

8.2 Prohibited Conduct

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any applicable law or regulation

  • Provide false, inaccurate, or misleading information, including fabricating health data

  • Access or attempt to access another user's account, data, or private information

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App or any underlying AI models

  • Use automated scripts, bots, scrapers, or similar tools to access or interact with the Service

  • Interfere with or disrupt the integrity, performance, or security of the Service or its infrastructure

  • Upload or transmit viruses, malware, or any other harmful code

  • Attempt to bypass, disable, or circumvent any security feature of the Service

  • Use the Service to develop a competing product or service without our written consent

  • Harass, threaten, or harm other users through community features

  • Post content that is defamatory, obscene, discriminatory, or that violates any third party's rights

  • Write false or inaccurate data into Apple HealthKit or any connected health platform

8.3 Enforcement

We reserve the right to investigate any suspected violation of these Terms and to take appropriate action, including suspension or permanent termination of your account, removal of content, and reporting to law enforcement authorities.

9. User Content

9.1 Definition

"User Content" means any content you create, upload, post, or share through the Service, including social posts, photos, comments, reactions, and journal entries visible to other users.

9.2 Ownership

You retain ownership of your User Content. By posting User Content, you grant Entropy Lifestyle a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content solely for the purpose of operating, improving, and promoting the Service. This license terminates when you delete your User Content or account, except to the extent it has already been shared or cached.

9.3 Content Standards

You represent and warrant that your User Content:

  • Does not violate any applicable law or third-party rights (including intellectual property, privacy, or publicity rights)

  • Does not contain misleading health claims, dangerous advice, spam, or prohibited commercial solicitations

  • Does not include personal health information of any other individual without their explicit consent

  • Complies with our Community Guidelines

9.4 Content Moderation

We do not pre-screen User Content but reserve the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, at our sole discretion and without notice. To report content that violates these Terms, contact hello@entropylifestyle.com.

10. Intellectual Property

10.1 Our Intellectual Property

The Service and all of its original content (excluding User Content), features, functionality, AI models, algorithms, scoring methodologies, visual design, and branding are owned by Entropy Lifestyle or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to access and use the Service on your authorized devices solely for your personal, non-commercial wellness management, in accordance with these Terms. This license does not include the right to modify, copy, distribute, transmit, display, perform, reproduce, publish, sublicense, or create derivative works from the Service.

10.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or its content; reverse engineer or attempt to extract any source code; use our trademarks or branding without prior written consent; or use the Service to create a competitive product or service.

10.4 Feedback

If you provide us with feedback, suggestions, ideas, or requests regarding the Service ("Feedback"), you grant us an irrevocable, perpetual, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without any obligation of compensation or attribution to you.

11. Third-Party Services

11.1 Health Platform Integrations

The Service integrates with Apple Health (HealthKit), Google Health Connect, WHOOP, and Oura Ring. Your use of these platforms is governed by their respective terms and privacy policies. We are not responsible for the operation, availability, accuracy, or data practices of any third-party platform.

11.2 Calendar Integration

If you connect Google Calendar, your use is subject to Google's Terms of Service and Privacy Policy. We access only the calendar data strictly necessary to provide wellness scheduling features.

11.3 App Stores

The App is distributed through the Apple App Store and Google Play Store. Your use of those platforms is subject to Apple's and Google's respective terms. Subscription purchases are processed by Apple or Google, subject to their payment and refund policies.

11.4 No Endorsement

References to third-party products, services, or companies do not constitute endorsement or recommendation by Entropy Lifestyle.

12. Subscriptions & Payments

12.1 Free & Premium Tiers

Entropy Lifestyle offers a free tier with core features and a premium subscription ("Entropy Pro") that unlocks additional AI insights, advanced analytics, and exclusive content. Feature availability by tier is described in the App and subject to change.

12.2 Billing

Premium subscription fees are billed in advance on a monthly or annual basis through the Apple App Store or Google Play Store ("App Stores"). You authorize the applicable App Store to charge your payment method on file for the subscription fee. We do not directly store or process your payment card information.

12.3 Free Trials

We may offer free trial periods at our discretion. At the end of the trial, your subscription will automatically convert to a paid subscription at the then-current price unless you cancel at least 24 hours before the trial expires. Trial eligibility is limited to new subscribers and determined at our sole discretion.

12.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. You can manage or cancel your subscription at any time through your device's App Store account settings:

  • iOS: Settings → [Your Name] → Subscriptions → Entropy Lifestyle

  • Android: Google Play → Profile → Payments & subscriptions → Subscriptions → Entropy Lifestyle

12.5 Price Changes

We may change subscription prices with reasonable advance notice. Price changes will take effect at the start of your next billing period after notice. If you do not agree to a price change, you must cancel before the new price takes effect.

12.6 Refunds

Refunds are handled exclusively by the Apple App Store or Google Play Store in accordance with their respective refund policies. We do not provide direct refunds for subscriptions purchased through App Stores. If you believe you are entitled to a refund, please contact the applicable App Store.

12.7 Cancellation

You may cancel your subscription at any time through your device's App Store settings. Upon cancellation, your subscription remains active until the end of the current paid period, after which you will revert to the free tier. No partial refunds are provided for unused subscription periods.

13. Privacy & Data

Your privacy is important to us. Our collection, use, and protection of your personal and health information is described in detail in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to our data practices as described in the Privacy Policy.

Key commitments: we do not sell your health data. We use your data to provide and improve the Service. You have the right to access, correct, and delete your data. HealthKit data is handled in strict compliance with Apple's HealthKit guidelines and may not be used for advertising.

14. Termination

14.1 Termination by You

You may terminate your account at any time by navigating to Settings → Account → Delete Account in the App, or by emailing hello@entropylifestyle.com. Upon termination, your data will be deleted in accordance with our Privacy Policy. Cancellation of a subscription does not delete your account.

14.2 Termination or Suspension by Us

We may suspend or terminate your account at any time, with or without prior notice, for reasons including but not limited to:

  • Violation of these Terms or our Community Guidelines

  • Suspected fraud, abuse, or illegal activity

  • Non-payment of subscription fees

  • Extended periods of account inactivity (with advance notice)

  • Discontinuation of the Service

Where termination is for cause, we are not obligated to provide a refund for any remaining subscription period.

14.3 Effect of Termination

Upon termination of your account for any reason:

  • Your license to use the Service is immediately revoked

  • You will lose access to all features, data, content, and accumulated gamification rewards within the Service

  • Sections of these Terms that by their nature should survive termination will continue to apply, including Sections 5, 7, 10, 15, 16, 17, and 18

15. Disclaimers of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ENTROPY LIFESTYLE EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT

  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS

  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY HEALTH DATA, AI RECOMMENDATIONS, SCORES, OR OTHER CONTENT PROVIDED THROUGH THE SERVICE

  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE

YOU UNDERSTAND AND EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENTROPY LIFESTYLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES

  • PERSONAL INJURY, BODILY INJURY, OR DEATH ARISING FROM YOUR USE OF THE SERVICE OR ANY WELLNESS PROTOCOL OR RECOMMENDATION PROVIDED THEREIN

  • ANY DAMAGES RESULTING FROM INACCURACIES IN WEARABLE OR THIRD-PARTY HEALTH DATA

  • ANY DAMAGES RESULTING FROM RELIANCE ON AI-GENERATED RECOMMENDATIONS

  • LOSS OF OR UNAUTHORIZED ACCESS TO YOUR DATA

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ENTROPY LIFESTYLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.

17. Indemnification

You agree to indemnify, defend, and hold harmless Entropy Lifestyle, KPMS3 LLC, their affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your access to or use of the Service

  • Your violation of these Terms or any applicable law

  • Your User Content

  • Your violation of any third-party rights, including intellectual property or privacy rights

  • Any misrepresentation made by you in connection with the Service

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim affecting us without our prior written consent.

18. Dispute Resolution & Arbitration

Please read this section carefully. It contains a binding arbitration clause and class action waiver that affect your legal rights. You have the right to opt out within 30 days of first accepting these Terms.

18.1 Informal Resolution First

Before filing any formal claim, you and Entropy Lifestyle agree to first attempt to resolve the dispute informally. Contact us at hello@entropylifestyle.com with a written description of your claim and desired resolution. We will attempt to resolve disputes within 30 days. If we cannot reach a resolution, you may proceed to arbitration as described below.

18.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including claims of breach, tort, fraud, misrepresentation, or any statutory claims) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org.

The arbitration will be conducted in English. For claims of $25,000 or less, the arbitration may be conducted via written submissions unless either party requests a hearing. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

18.3 Class Action Waiver

YOU AND ENTROPY LIFESTYLE AGREE THAT ALL CLAIMS MUST BE BROUGHT IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

18.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration, and small claims court actions (where the amount in controversy qualifies) are permitted.

18.5 Opt-Out Right

You may opt out of the binding arbitration agreement within 30 days of the date you first accepted these Terms by sending written notice to hello@entropylifestyle.com with the subject "Arbitration Opt-Out." Your notice must include your name, email address, and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved in the courts specified in Section 19.

19. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For users who opt out of arbitration, or for disputes that cannot be arbitrated, you and Entropy Lifestyle consent to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes. You waive any objection to the laying of venue in such courts.

If you are accessing the Service from outside the United States, you are responsible for compliance with applicable local laws.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and Entropy Lifestyle with respect to the Service and supersede all prior agreements and understandings.

20.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

20.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.

20.5 Notices

Notices from us to you will be made via email to the address on your account or via in-app notifications. Notices from you to us must be sent to legal@entropylifestyle.com or by mail to our registered address.

20.6 Force Majeure

We will not be liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, power outages, government actions, epidemics, or internet infrastructure failures.

20.7 App Store Terms

These Terms are between you and Entropy Lifestyle only, not Apple Inc. or Google LLC. Apple and Google are not responsible for the Service or its content, and have no obligation to provide any maintenance or support. In the event of any conflict between these Terms and the applicable App Store terms, the App Store terms will govern solely with respect to the platform relationship.
